Liability restructuring

Your company has debt that has become hard to sustain, but is still operationally viable. Before the crisis deepens, it is worth analyzing how to reorder liabilities and choosing the right legal tool for each type of debt.

In one line

Liability restructuring is not a single procedure: it is an overall strategy that may combine private negotiations, an out-of-court restructuring agreement (APE) or reorganization proceedings, depending on the company's condition and the composition of its creditors.

First steps

A strategic approach to debt

Restructuring liabilities means reordering the company's debts to make them compatible with its real capacity to pay, while preserving business continuity as far as possible. The starting point is an accurate diagnosis of liabilities, assets and cash flow.

Based on that diagnosis, the appropriate instruments are chosen. In many cases the process begins with direct negotiations with creditors and, if broader effects are needed, moves to the tools available under Law 24,522.

Available tools

When private negotiation is not enough, the law offers the out-of-court restructuring agreement under articles 69 to 76, which allows terms to be agreed with creditors and then approved by a court, and reorganization proceedings, which provide a full court framework with a stay on enforcement actions.

The choice between these routes depends on how concentrated the liabilities are, creditors' willingness to negotiate, and the degree of urgency. The strategy often combines stages: negotiating first and then formalizing matters with whichever tool best protects the company.

How we work

We analyze the debt structure, identify the key creditors and project realistic payment scenarios. Based on that we design a roadmap that orders priorities and timelines for each instrument.

We support the negotiation and, where appropriate, the court filing. The goal is to give the company predictability within the legal framework, always without promising outcomes that depend on third parties and on the process itself.

Common mistakes

Frequently asked questions

Does restructuring liabilities mean entering reorganization proceedings?
Not always. Restructuring may start with private negotiations with creditors. Reorganization proceedings or the APE are tools used when broader effects or a court framework are needed.
When is it advisable to start restructuring debt?
As early as possible. Acting while the company remains viable widens the available options. Waiting until suspension of payments is advanced tends to reduce the room for negotiation.
What is the difference between negotiating and having an agreement approved by a court?
A private negotiation binds only those who sign it. An agreement approved under Law 24,522 can extend its effects to other creditors, depending on the procedure used.
Can you guarantee the restructuring will work?
No. The outcome depends on creditors' willingness, the company's condition and the process itself. We work to maximize the chances within the legal framework, without promising a result.
