Article 159 governs how SRL members adopt company resolutions.
The agreement shall determine how members deliberate and adopt resolutions. If it is silent, resolutions are valid when members communicate their votes to management by any method ensuring authenticity within ten days of a simultaneous reliable consultation, or through a written statement in which all members vote. In SRLs under Article 299(2), members meeting in assembly decide on the financial statements.
